Liquor OS Terms of Service
DRAFT pending counsel. Version 2 (October 3, 2026). Counsel is confirming state auto-renewal notices and every clause below before a paying store signs up. Version 2 names the provider, sets the governing law and adds where to reach us.
These terms are an agreement between the business that signs up ("you") and InStoreAdvisor Inc., a Delaware corporation doing business as LiquorChat, 4465 E Genesee St., Syracuse, New York 13214 ("LiquorChat", "we", "us"), the provider of Liquor OS. You accept them when you check the box and type your name at sign-up, or when you tap I agree on an updated version in the app.
1. The service
Liquor OS gives your store a team of AI staff that you steer from an app: a manager you talk to, and staffers that answer missed calls, reply to messages and reviews, plan your marketing and prepare posts, emails, texts and pushes for you to approve or send. What each plan includes is listed on the plan you choose and in Settings, Plan and billing.
Liquor OS does not connect to your point-of-sale system, does not keep a customer list, and does not send messages to your customers except replies inside a conversation the customer started, on the same channel, and a call back a caller asked for on a recorded call.
2. Who may use it
You must be a licensed alcohol retailer in the United States, or acting for one, and the person accepting these terms must be at least 21 and able to bind the business. You may invite managers and counter staff; you are responsible for what the people you invite do in your account.
3. Plans, prices and billing
- Per store. Each plan has a price for the first store and a lower price for each extra store, billed monthly or yearly. The yearly price is ten times the monthly price.
- Your first month is free. It starts when your first channel goes live (for example Google replies or phone answering), and no later than 14 days after you enter your card. It ends 30 days after it starts. One free month is available per store; a store that has had one does not get another.
- Card required. We keep a payment card on file through our payment processor. We never take a card over the phone, in chat or by text.
- Automatic renewal. After the free month, your plan renews automatically each month or each year, at the price shown in the app, until you cancel. We show the date and amount of your next bill in Settings, Plan and billing, and we remind you before your free month ends.
- Phone minutes. Plans with phone answering include a number of phone minutes each month, pooled across your stores. Past them, the AI keeps answering at $0.20 a minute, up to a monthly cap you choose ($50 unless you change it, or off). Any charge for extra minutes appears as one line on your next bill.
- Add-ons are billed as shown when you add them. A one-time add-on is charged when you buy it.
- Changes. An upgrade takes effect when you approve it and any difference for the rest of the billing period is charged then. A downgrade or a smaller number of stores takes effect at the end of the current period. Every change shows its exact charge before you approve it.
- Price changes. We give at least 30 days' notice in the app and by email before a price change applies to you.
- Taxes that apply to the service are added where required.
- Failed payments. If a payment fails, the service keeps running while we try the card again. You can update your card at any time in the app. If payment still fails, we may pause the service until it is paid.
4. Cancelling and pausing
- You can cancel at any time in Settings, Plan and billing, in two taps. Cancelling takes effect at the end of the current billing period, and you keep the service until then. If you cancel during your free month, you are not charged.
- Fees already paid are not refunded, except where the law requires a refund.
- You can pause your plan for a month instead of cancelling. While paused, nothing goes out and calls pass straight through to your store.
- When your plan ends, we help you turn call forwarding off and pass your calls through to your store for up to 60 days, at no charge, so no caller is lost.
5. How the AI staff work, and your part
- You stay in charge. Each staffer has a setting: Ask me first, Do it and tell me, or Fully automatic. Some actions always ask you first, including anything about money, billing, ad spend, hours, special orders and complaints. When you set a staffer to act on its own, you authorize it to act within these terms and the rules in the app.
- Disclosure. Your AI staff say they are "the store's AI assistant" and calls carry a recording notice. You are responsible for any consent your state requires to record calls; we play a notice at the start of every call.
- Facts. Your staff answer from what you tell them: prices, stock, hours and policies. They do not promise stock or state a price without a current fact from you, and you are responsible for keeping those facts accurate.
- Mistakes happen. AI output can be wrong. You review what goes out according to the settings you choose, and you can correct any answer with "That's wrong".
- Your customers and your tools. You send emails, texts and pushes to your customers from your own tool (for example CityHive). You are responsible for having the consent the law requires for your customer lists and for the opt-out rules of those messages. Liquor OS never imports, stores or messages your customer list.
- Advertising. On the Managed plan, ads run in your own Google and Meta accounts, you pay ad spend to Google and Meta directly, and no change to what you spend happens without your approval. Ads target people 21 and over.
6. Rules for content
You will not use Liquor OS to market THC or cannabis products, to sell or advertise to anyone under 21, to offer free alcohol, prizes or games of chance where the law does not allow it, to make health claims, or to send anything false or misleading. Liquor OS checks every piece before it goes out and stops what breaks these rules or your state's rules. We may remove or block content that breaks them.
7. Your data
- You own your store's data: your facts, photos, posts, messages and recordings. You give us permission to use it only to provide and improve Liquor OS for you.
- Customer details stay inside the conversation, call, hold or shelf check they came from. We do not build or sell customer lists.
- We do not sell your data, and we do not use your content to train AI models offered to others.
- Security. We protect your data with access controls, encryption in transit, and separation between businesses.
- When you leave, you can ask for an export of your data for 30 days after your plan ends. After that we delete it, except what the law requires us to keep.
8. Other services
Liquor OS connects to services you choose, such as Google, Facebook, Instagram, your email and text tool, your phone carrier and our payment processor. Their terms also apply to your use of them, and we are not responsible for their outages or their decisions about your accounts.
9. Ownership
We own Liquor OS and its software. You own your content. Posts, emails, texts, images and replies Liquor OS makes for your store are yours to use for your store's business.
10. Warranties and liability
Liquor OS is provided "as is". We work to keep it running and accurate, but we do not promise it will be uninterrupted or error-free, or that it will produce any particular sales result. To the extent the law allows, our total liability under these terms is limited to the fees you paid us in the 12 months before the claim, and neither of us is liable for indirect or consequential losses.
11. Indemnity
You will defend and indemnify LiquorChat against claims that arise from your content, from the facts you give your staff, or from your breach of alcohol, advertising or messaging laws.
12. Suspension and ending
We may suspend or end your account if you break these terms, if the service is used unlawfully, or if fees go unpaid after notice. You may end your account by cancelling. Sections 7 to 11 continue after the account ends.
13. Changes to these terms
We may update these terms. We will tell you in the app at least 30 days before an update applies, and ask you to accept it with I agree. If you do not accept, you may cancel before the update applies.
14. Law and disputes
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Before filing a claim, contact us so we can try to resolve it; we answer within 30 days. If we can't, either of us may bring the claim in the state or federal courts located in Onondaga County, New York, and both of us consent to their jurisdiction. Either of us may also bring an individual claim in small claims court where it qualifies.
